“Site”). These Terms of Use (the
“Terms”) are a binding agreement between you and
Midwest Plastic Engineering, Inc. (“Midwest
Plastic Engineering,” “we,”
“us,” or “our”). By accessing or using
the Site, you agree to be bound by these Terms and all applicable laws.
If you do not agree, you must not use the Site.

1. Who May Use the Site

You may use the Site only if you are at least 13 years old and have
the legal capacity to enter into these Terms. If you use the Site on
behalf of a company or other entity, you represent that you are
authorized to bind that entity, and “you” refers to that entity.

2. Changes to the Terms

We may update these Terms from time to time at our discretion. We
will post the updated version on this page with a new “Last Updated”
date. Changes are effective upon posting unless otherwise stated. Your
continued use of the Site after changes are posted means you accept the
changes.

3. Additional Policies

Your use of the Site is also subject to our Privacy
Policy and Cookie Policy, which are
incorporated by reference into these Terms.

4. Ownership and Intellectual Property

The Site, including all content, text, images, graphics, logos,
icons, video, audio, interfaces, software, and other materials
(collectively, the “Content”), is owned by or licensed
to Midwest Plastic Engineering and protected by U.S. and international
intellectual property laws. Except as expressly permitted by these
Terms, you may not copy, reproduce, modify, adapt, translate,
distribute, transmit, display, perform, publish, license, create
derivative works from, or otherwise exploit the Content without our
prior written consent.

Our name, logos, product names, and service names are trademarks of
Midwest Plastic Engineering or our licensors. Nothing in these Terms
grants you rights to use any trademarks without prior written
permission.

5. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive,
non-transferable, revocable license to access and use the Site for
internal business purposes and to learn about our services. You agree
not to use the Site in any manner that violates applicable laws or
third-party rights, interferes with or disrupts the Site or its
security, attempts to probe or test vulnerabilities, uses bots or
scraping tools (other than standard search-engine crawling), uploads
malicious code, engages in fraudulent or misleading activity, or
harvests information from other users without consent.

6. User Submissions & Project Materials

If you submit information to us through forms, email, or uploads—such
as project details, drawings, specifications, CAD files, or other
materials (collectively, “Submissions”)—you represent
and warrant that you have the rights necessary to provide those
Submissions and that doing so does not violate any obligation or rights
of others.

Confidentiality. If you require a non-disclosure
agreement (NDA) before sharing sensitive information, please contact us.
Unless an NDA is in place, Submissions are handled per our standard
business practices and Privacy Policy and are not treated as
confidential by default.

License to Use Submissions. You grant us a
non-exclusive, royalty-free license to use your Submissions solely to
evaluate requests, provide quotes, perform engineering/manufacturing
services, and improve our internal processes. You retain ownership of
your Submissions.

7. Quotes, Orders, and Services

Any quotes, proposals, specifications, pricing, lead times, and
delivery terms communicated by us are subject to separate written terms
(e.g., a purchase order, sales order, or master service agreement). If
these Terms conflict with a signed agreement for services, the signed
agreement controls. We reserve the right to refuse or cancel any request
or order where we reasonably believe there is an error,
misrepresentation, or compliance concern.

8. No Professional Advice

The Site may include general information about materials,
manufacturing processes, tolerances, or design considerations. Such
information is for informational purposes only and does not constitute
engineering, legal, regulatory, or other professional advice. You are
responsible for validating any specifications or designs for your
application.

9. Third-Party Links & Tools

The Site may link to third-party websites or include embedded tools
or content. We do not control and are not responsible for third-party
sites, content, or practices. Accessing third-party resources is at your
own risk and subject to their terms and policies.

10. Software, API, and Downloads (If Any)

Any software, technical data, or documentation we make available
through the Site is our intellectual property or that of our licensors.
Your use is subject to any accompanying license terms. You may not
reverse engineer, decompile, or attempt to extract source code except
where prohibited restrictions do not apply by law.

11. Digital Millennium Copyright Act (DMCA) Notice

If you believe material on the Site infringes your copyright, please
send a written notice including: (a) your physical or electronic
signature; (b) identification of the copyrighted work claimed to be
infringed; (c) identification of the allegedly infringing material and
its location; (d) your contact information; (e) a statement that you
have a good-faith belief the use is not authorized; and (f) a statement
that the information in your notice is accurate, under penalty of
perjury, and that you are the copyright owner or authorized to act on
the owner’s behalf.

terminate repeat infringers where appropriate.

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,”
WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES,
INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES
ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT
THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS
WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDWEST PLASTIC ENGINEERING
AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT
BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL,
ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING
OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S.
DOLLARS (US $100) OR THE AMOUNT YOU PAID (IF ANY) TO ACCESS THE
SITE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY,
WHICHEVER IS GREATER. Some jurisdictions do not allow certain
limitations; where they do not, the limitations apply to the fullest
extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Midwest Plastic
Engineering and our officers, directors, employees, agents, and
affiliates from and against any claims, liabilities, damages, losses,
and expenses (including reasonable attorneys’ fees) arising out of or
connected with your use of the Site, your Submissions, your violation of
these Terms, or your violation of any law or third-party rights.

15. Termination and Suspension

We may, with or without notice, suspend or terminate your access to
the Site if we believe you have violated these Terms or applicable law,
or for operational or security reasons. Upon termination, your right to
use the Site ceases immediately. Sections that by their nature should
survive termination (including ownership, disclaimers, limitations of
liability, indemnification, and governing law) will survive.

16. Export Controls and Sanctions

You agree to comply with U.S. export control and economic sanctions
laws and regulations. You will not use the Site or any Content in
violation of such laws, including by exporting or re-exporting any
Content to restricted territories or parties without required
authorization.

17. Governing Law; Venue

These Terms are governed by the laws of the State of
Michigan, without regard to its conflict-of-laws principles.
For any disputes not subject to arbitration (note: arbitration is not
used—see Section 18), you consent to the exclusive jurisdiction and
venue of the state and federal courts located in or serving St.
Joseph County, Michigan.

18. Dispute Resolution — Court Only (No Arbitration)

No Arbitration; No Class Actions. All disputes,
claims, or controversies arising out of or relating to these Terms or
the Site will be resolved exclusively in the state or federal
courts located in or serving St. Joseph County, Michigan.
You and we irrevocably consent to the personal
jurisdiction and venue of those courts. You and we each waive
any right to a jury trial to the extent permitted by law.
You and we also agree that any claims must be brought
in an individual capacity only, and not as a
plaintiff or class member in any purported class, consolidated,
or representative proceeding.

19. Electronic Communications; Notices

By using the Site or emailing us, you consent to receive
communications from us electronically. We may provide notices by posting
on the Site or by sending email to the address you provide. You agree
that all such notices and communications satisfy any legal requirements
that communications be in writing.

20. Severability; Waiver

If any provision of these Terms is found to be invalid or
unenforceable, the remaining provisions will remain in full force and
effect. Our failure to enforce any right or provision will not be deemed
a waiver.

21. Entire Agreement

These Terms, together with any additional policies referenced herein
(including the Privacy Policy and Cookie Policy), constitute the entire
agreement between you and Midwest Plastic Engineering regarding your use
of the Site and supersede all prior or contemporaneous communications
and proposals related to the Site.
